These terms govern registration, quotes, orders, freight, payment, and use of the ICD platform on behalf of your business.
These Terms & Conditions (“Terms”) govern your use of the website and services operated by INDUSTRIAL CLEANERS DIRECT LLC(“ICD,” “we,” “us,” or “our”) at industrialcleanersdirect.com. By registering an account, submitting a quote request, or placing an order, you agree to these Terms on behalf of your business entity.
ICD sells exclusively to qualified business and commercial customers. You represent that you are authorized to bind your organization and that purchases are for business use — not personal, household, or retail resale unless explicitly agreed in writing. We may decline or terminate accounts that do not meet our B2B qualification standards.
Access to pricing, the quote builder, and order placement requires a registered company account. Registration collects business contact information, billing address, and optional shipping details. Accounts are reviewed before activation; ICD may approve, defer, or decline applications at its discretion.
You are responsible for maintaining accurate account information, safeguarding login credentials, and ensuring that only authorized personnel use your account. Notify us promptly of any unauthorized access at support@industrialcleanersdirect.com.
ICD operates a quote-first sales model. There is no retail shopping cart or instant checkout. The typical flow is: build a quote in the portal → submit for ICD review → receive verified freight on a quote-ready document → review and approve the total → pay via Stripe invoice → order fulfillment. Prices, packaging availability, and freight are confirmed through this process — not at anonymous catalog browse.
All sales are subject to minimum order quantities (MOQ) enforced per packaging type in the quote builder. MOQ tiers reflect manufacturer and distributor requirements for bulk industrial chemicals. ICD does not offer sampling, trial quantities, or MOQ waivers unless explicitly stated in writing on a specific quote document.
Product availability and packaging options are limited to SKUs and sizes on our current manufacturer price sheet. ICD does not accept custom blends or off-catalog orders through the standard platform.
Unit prices shown in the quote builder apply markup to verified distributor costs. Final invoice amounts include approved line items, applicable surcharges, and verified freight as shown on your quote-ready document.
Quotes are valid for the period stated on the quote document. Unless otherwise noted, the default validity period is 30 days from the date the quote is marked ready. Expired quotes must be re-submitted or refreshed before ordering.
Freight is human-in-the-loop: ICD obtains verified LTL freight quotes from carriers before you see a final total. Estimates shown during quote building (weight, pallet guidance, accessorial selections) are planning aids — not guaranteed freight charges. When your quote reaches quote ready status, the freight amount on that document reflects verified costs at the time of preparation.
For ICD-coordinated freight (prepay and add), shipment terms are FOB ITD(our manufacturer partner's shipping point). Title and risk of loss transfer in accordance with standard FOB shipping terms once goods are delivered to the carrier. If the carrier's final bill exceeds the quoted freight amount, you remain responsible for the difference, consistent with our freight policy summary at checkout.

Payment is processed via Stripe invoice after account approval and quote acceptance, unless ICD agrees to alternative terms in a separate written agreement. You agree to pay invoices by the due date shown on the Stripe invoice. ICD may hold or cancel orders for non-payment, account delinquency, or suspected fraud.
ICD does not publish specific credit terms (such as Net-30) on this page. Any payment terms beyond standard invoice-on-approval require explicit written agreement with ICD.
After you approve a quote-ready total and pay, ICD submits your order to our manufacturer partner for processing, packaging, and shipment. Order status updates (processing, shipped, tracking when available) are reflected in your portal.
Cancellation is not available once an order is in processing. You may request cancellation before ICD submits the order to the manufacturer for fulfillment; once processing begins, orders cannot be cancelled. ICD follows manufacturer cancellation policies and defaults to the conservative position when policies are unclear.
Bulk industrial chemicals are subject to limited return eligibility. Opened containers, custom or special-order items, and products that cannot be resold for safety or regulatory reasons are generally not returnable. Damaged-in-transit, short-ship, and freight-related claims have specific procedures and time limits.

Product descriptions, specifications, dilution guidance, and application notes on our site are for general business reference. Safety Data Sheets (SDS) from the manufacturer are the authoritative source for hazard, handling, and emergency information. Always read the SDS before use and follow label directions.
ICD distributes industrial cleaning chemicals; we do not manufacture formulations. We make no warranty that products are suitable for every application. You are responsible for selecting appropriate products, verifying compatibility with your equipment and surfaces, and complying with applicable federal, state, and local regulations — including EPA registration requirements where applicable.
Emergencies: For chemical emergencies, use the 24-hour emergency number on the product SDS — not email.
Many ICD products are classified as hazardous materials for transportation. Shipment is subject to carrier rules, hazmat class restrictions, destination limitations, and proper documentation. You must provide accurate delivery addresses, contact information, and accessorial requirements (lift gate, residential delivery, appointment delivery, etc.) so carriers can safely deliver freight. Misrepresentation of delivery conditions may result in additional charges or delivery failure.
The ICD website, software platform, logos, and original content are owned by or licensed to ICD and protected by intellectual property laws. You may not copy, scrape, reverse-engineer, or redistribute platform content except as needed for your ordinary business use of our services. Product SDS and manufacturer materials remain the property of their respective owners.
You agree not to misuse the site — including attempting unauthorized access, interfering with platform operation, or using automated tools to extract pricing or catalog data beyond normal business use.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ICD AND ITS OFFICERS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OUR SERVICES OR PRODUCTS — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ICD'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR A SPECIFIC ORDER SHALL NOT EXCEED THE AMOUNT YOU PAID TO ICD FOR THAT ORDER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless ICD and its officers, employees, and partners from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of products, violation of these Terms, misrepresentation of delivery or account information, or failure to comply with applicable laws and regulations in your use of purchased chemicals.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be brought in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.
We may revise these Terms from time to time. The “Last updated” date reflects the current version. Material changes will be posted on this page. Continued use of our services after changes constitutes acceptance.
